9. advertising and expenses

10. commission

甲乙双方经友好协商，就甲方委托乙方独家代理出售甲方所合法拥有的房地产及与之相关的其他合作事宜达成如下协议：
第一条 委托代理出售标的物（以下简称“本案”）之基本信息——坐落：上海市_ 区____路____号 上述代理销售商铺的面积按房屋土地资源管理局核准的面积为准；本案委托代理价格（基准价）为每平方米人民币 元整（rmb ）。
第二条 甲方须于XX年 1月20日前将本案代理所出售的下列必备资料交给乙方：

* 其他乙方要求甲方提供的相关材料。
第三条 代理收取定金及房款
1、当承购方接受的条件符合甲方委托的条件时，甲方同意乙方可以全权代理收取定金，并同意乙方收受定金时即视为达成交易；
2、如因承购方原因导致未能成交时，定金没收，由甲乙双方平分；
3、当承购方与甲方签署《上海市商品房出售合同》后，甲方同意乙方可以全权代理收取房款，并转付房款。 4、如因承购方原因导致合同违约时，承购方支付的违约金由甲乙双方平分；
第四条 乙方义务
1、乙方定期向甲方报告业务处理情况。
2、乙方应努力通过市场渠道尽速寻求承购方，在委托期内早日促成甲方委托的交易，凡与乙方签定了委托合同或确认书的承购方即视为乙方向甲方介绍的交易对象，甲方应予以认可。
3、乙方应安排专业人员负责该物业之现场及本部销售业务及宣传接待工作，组织承购方签署《定金合同》，经甲方确认后，协助承购方与发展商签署《上海市商品房出售合同》；
4、在乙方收到全额代理服务费后开具相应服务费发票给予甲方。
第五条 甲方义务
1、甲方承诺于本协议签署时及本协议有效期内，不存在任何对乙方销售该项目造成影响的其他第三方权利，包括但不限于抵押、第三方对甲方之债权等。甲方之不可撤消的承诺：其将不与任何第三方签订与该项目有关的、与本代理销售相同的或类似的其他协议。保证乙方为独家驻场销售代理。
2、甲方不得在本合同期内及期满后12个月内，与乙方所曾介绍的交易对象进行本委托事项的交易；
3、甲方应认可乙方介绍的客户可以通过银行抵押贷款方式支付相应部分房价款；
4、乙方依本合同条款的约定代理收取定金后，甲方应依甲方与承购方签署的《定金合同》中所约定的日期安排承购方与发展商签署《上海市商品房出售合同》，并在承购方支付房价款后，开具相应金额的全额房款发票。
第六条 广告企划甲方须向乙方提供必要的宣传资料，乙方可根据自身代理情况自行开展广告宣传，内容可同甲方共同确认。
第七条 代理服务费
1、甲方支付给乙方的代理服务费数额为：本案实际成交价格高于基准价之部分。
2、支付时间：甲方与承购方签订《上海市商品房出售合同》并支付全额房价款后的3日内；若甲方不能按时支付代理服务费且无正当理由，则乙方有权在向甲方转付承购方之购房款中直接扣除代理服务费及该笔款项的日仟分之壹的滞纳金。
3、有下列各项情形之一者，视为乙方已完成受托居间中介责任，甲方均应给付约定的代理服务费：（1）在独家委托期间，甲方擅自委托其他代理人或自行出售本案；若甲方擅自委托其他代的理人或自行出售本案价格相当或低于基准价，则甲方应支付乙方本案成交总价10%的代理服务费；（2）若乙方介绍了符合甲方委托条件的承购方后，而甲方无故不与其签署《上海市商品房出售合同》，则甲方仍应支付乙方委托基准价10%的代理服务费；（3）乙方依本合同条款的约定，于委托期间内代理收受定金而甲方不愿依委托条件与乙方所介绍的承购方签定书面正式合同；（4）本合同期内及期满后，甲方与乙方所曾介绍的承购方成交的；（5）其他因甲方自身原因导致本合同终止的。
4、乙方有下列情形之一的，甲方不支付本条约定的代理服务费：（1）乙方在委托期间内，不能提供订约机会的；（2）乙方未经甲方书面同意，擅自改变本合同第一条所列的内容、条件、要求的；（3）乙方违反国家和本市有关法律、法规，与他人恶意串通，损害甲方利益的。
第八条 委托期限
1、自 XX年1月 15 日至XX年4月30日止；
2、本合同非经甲乙双方书面同意不得终止，甲乙双方任何一方无故擅自提前终止本合同均应向另一方支付委托基准价10%的违约金。
第九条 本协议适用中华人民共和国法律。如各方就本协议的订立、生效、履行、解释、终止发生任何争议，则该等争议应首先通过友好协商解决。如经友好协商仍不能解决，则应向该项目所在地有管辖权的法院提起诉讼。
第十条 本协议为确认甲乙双方权利义务的正式文本。在本协议生效以前双方协商的各项协议，除已获履行的部分以外，若内容与本协议不一致的，应以本协议为准。
第十一条 本协议一式肆份，经双方签署后立即生效，甲、乙双方各执贰份，每份具有同等效力。
